Procur3 Marketplace Terms of Service
These Terms and Conditions ("T&Cs") are entered into between:
Procur3 FZ-LLC (the "Company"), based in Meydan Free Zone, Meydan Grandstand, 6th Floor, Meydan Road, Nad Al Sheba, Dubai, United Arab Emirates, and
the users ("Users") of the online marketplace "Procur3" (the "Marketplace") accessible via https://procur3.io.
The Marketplace facilitates the connection between Clients and Vendors ("Contractors") for professional services including, but not limited to, smart contract audits, compliance consulting, and other B2B services. By using the Marketplace, you agree to abide by these T&Cs.
"Account": A registered user profile within the Marketplace.
"Client": A legal entity seeking service providers via the Marketplace.
"Contractor": A service provider offering services through the Marketplace.
"Request for Proposal (RFP)": A posting by a Client describing desired services.
"Offer": A proposal by a Contractor in response to an RFP.
"User": Any registered Client or Contractor.
"Project": A service engagement between a Client and Contractor.
Use of the Marketplace is restricted to legal entities and individuals acting in a professional/business capacity. Users must be at least 18 years old. By registering, Users confirm the accuracy of their information and their compliance with applicable laws.
Clients may post RFPs specifying scope, deadlines, and requirements. Contractors may submit Offers to RFPs. Communication before Offer acceptance is enabled within the platform. Upon acceptance of an Offer, the Client and the Contractor shall bear sole and exclusive responsibility for the negotiation, drafting, execution, and performance of any resulting agreement or contractual arrangement. Such agreement shall be concluded independently and outside the Procur3 Platform.
Procur3 shall not be deemed a party to, nor shall it have any role in the formation, interpretation, enforcement, or performance of, any agreement entered into between the Client and the Contractor. Procur3 neither assumes nor accepts any liability, obligation, or responsibility arising from or in connection with such contractual relationships, including, without limitation, those relating to payment, service delivery, warranties, representations, indemnities, or disputes.
A 10% service fee ("Referral Fee") is charged to Contractors upon successful closure of a deal facilitated through the Procur3 platform. The fee is calculated based on the net deal value (excluding taxes and additional costs).
Once an RFP is awarded to a Contractor via the platform, Procur3 will issue an invoice to the Contractor for 10% of the agreed net contract value. The Contractor is obligated to pay the invoice within fourteen (14) business days of the invoice date.
Failure to pay within this period may result in account suspension or further action at the Company's discretion.
There is no fee for Clients to post RFPs on the platform at this time. However, the Company reserves the right to introduce charges for certain Client-side features or premium services in the future. Any such changes will be communicated in advance and reflected in an updated version of these Terms and Conditions.
All Users agree to:
Procur3 acts solely as a technical intermediary between Clients and Contractors. It provides a platform for posting Requests for Proposals (RFPs), submitting Offers, and facilitating connections between Users. The Company is not a party to any contract between Users and does not guarantee the outcome, execution, or quality of any agreement, service, or deliverable.
The Company conducts internal verification procedures for Contractors and may assess experience, credentials, or other factors to improve platform integrity. However, this verification is limited to internal checks and is based on the information submitted by Users. Procur3 makes no warranties or representations as to the accuracy, reliability, completeness, or legitimacy of any User profile or verification status.
Clients are solely responsible for conducting their own due diligence before entering into any agreement with a Contractor. Likewise, Contractors are responsible for evaluating the suitability of a Client.
The Company may introduce optional rating systems in the future. If implemented, feedback must be fair, accurate, and non-abusive.
All proprietary content, software, and branding on the Marketplace belongs to the Company or its licensors. Users retain ownership of their uploaded content but grant the Company a license to use such content solely for the operation of the platform.
Use of the platform is subject to Procur3's Privacy Policy, which forms an integral part of these T&Cs. Users must maintain the confidentiality of sensitive information shared through the platform.
Users may delete their Account at any time by sending an email to info@procur3.io. The Company reserves the right to suspend or delete Accounts in case of violations, inactivity, or legal risk.
The Company may update these T&Cs from time to time. Updates will be notified by email or platform notification. Continued use constitutes acceptance of the new terms.
These T&Cs are governed by the laws of the United Arab Emirates. Any disputes shall be resolved in the courts of Dubai, subject to applicable jurisdiction rules.
